SEC eAMEND Goes Paperless for Select Corporate Amendment Applications
The Philippine Securities and Exchange Commission (SEC) issued Memorandum Circular No. 21, Series of 2026, setting guidelines for paperless filing of selected amendment applications through the eAMEND portal. The circular, dated 20 July 2026, continues the Commission’s shift toward electronic corporate filings and reduced reliance on physical submissions.
Corporate amendments can affect fundamental information such as the company name, principal office, corporate term, capital structure, purposes, or provisions of the articles and bylaws. The precise eAMEND process and documentary requirements depend on the amendment being requested. Corporations should identify the correct application type before preparing board and stockholder approvals.
A paperless system does not relax legal requirements. Resolutions, secretary’s certificates, amended documents, ownership information, and supporting records must remain accurate, properly authorized, and mutually consistent. Signatories should verify names, dates, voting thresholds, share figures, and corporate information before upload because discrepancies can delay evaluation or require correction.
Companies should also maintain organized originals and reliable electronic records even when the filing itself is digital. Internal approval records, notices, minutes, and signed instruments may be needed for governance, audit, banking, due-diligence, or later regulatory purposes. Corporations with foreign participation should separately confirm whether the proposed amendment affects nationality restrictions, capital commitments, licences, or investment registrations.
