Registering a corporation with the SEC is an important first step for a food trading venture, but it does not itself authorize the company to distribute regulated food products. The business should identify its intended activity—such as trader, importer, exporter, or distributor—and confirm which Food and Drug Administration approvals apply before inventory, contracts, and launch dates are fixed.

Match the license to the activity

The FDA’s guidance for food traders and distributors describes the License to Operate application through its eServices portal. A corporation’s proof of business registration generally includes its SEC certificate and articles. The application also calls for establishment information, a location plan, GPS coordinates, and a qualified person’s details, among other items.

A newly established company may need a signed statement or certification of initial capitalization when audited financial statements do not yet exist. The FDA uses financial information in assessing the applicable fee, and renewal documents can differ from initial application documents. Applicants should consult the current FDA Citizen’s Charter and portal instructions for their category before filing.

Separate establishment and product approvals

An LTO concerns the establishment and its authorized activity. It should not be confused with a product registration or other market authorization that may be required for particular processed food products. Product labels, sources, import documents, and contractual responsibilities should be reviewed separately. An importer and a domestic trader may face different documentary and operating requirements.
