SEC Officer Appointment Form for One Person Corporations: A New Compliance Calendar Item
One Person Corporations should add officer appointment reporting to the post-incorporation checklist. The Securities and Exchange Commission lists a dedicated SEC Form for Appointment of Officers for OPCs, strictly required beginning 23 March 2026. A digital certificate of incorporation therefore should not be treated as the final compliance step.
The initial deadline is short
On its official reportorial requirements page, the SEC states that the form should be filed within twenty days after approval of the Certificate of Incorporation. It also states that a succeeding officer appointment should be reported within five days. An incorporator should settle the intended officer roles and collect the required details before the certificate is issued.
Appointment paperwork should match the actual governance record. The sole stockholder’s roles, the corporate secretary and treasurer functions, and any changes should be reviewed under the Revised Corporation Code and current SEC guidance. A name placed on the form without proper appointment or consent can create practical problems with banks, regulators, and counterparties.
Review existing OPC records too
An established OPC should compare its current officers with its SEC filings and note any appointments after the new rule took effect. Changes in officers should trigger a calendar reminder immediately, since the subsequent-appointment period is only five days. The company should keep signed appointment documents and proof of submission together.
