Closing a Philippine Business: The BIR Registration-Cancellation Process
Stopping operations does not by itself close a Philippine business’s tax registration. A corporation or sole proprietor that leaves its BIR record active may still face filing and reconciliation issues. A planned closure should therefore address the legal entity, tax accounts, invoices, inventory, employees, and local permits as separate workstreams.
RMC No. 47-2026 sets out the BIR route
In Revenue Memorandum Circular No. 47-2026, dated 19 May 2026, the BIR prescribed simplified procedures for closure or cancellation of business registration. The BIR’s official digest says the circular covers individual and non-individual business taxpayers, including corporations, that have permanently ceased operations or otherwise qualify for cancellation.
The digest identifies BIR Form No. 1905, an ending inventory for VAT-registered taxpayers, and unused invoices and other accounting forms among the documents that may be required. It also states that applications go to the relevant Revenue District Office and describes electronic and manual submission channels, with certain physical documents still requiring manual submission. Applicants should consult the full circular and the RDO for the exact record and submission method applicable to them.
Closure is a sequence, not a single form
Before filing, reconcile open tax returns, registration data, branch records, unused documents, and inventory. A corporation should also coordinate the tax cancellation with its SEC status and local-government closure requirements. A branch closure, dissolution, or transfer can have a different corporate and tax sequence, so a generic checklist should not replace a transaction-specific review.
