Can a Foreign-Owned Company Qualify for BOI Registration in the Philippines?
Foreign ownership does not automatically disqualify a Philippine project from Board of Investments registration. Nor does SEC incorporation automatically confer BOI incentives. The investor must examine the proposed activity, market, ownership restrictions, and the applicable investment priority plan before budgeting for incentives.
Eligibility begins with the project
The BOI’s Doing Business in the Philippines 2026 guide explains that a foreign enterprise may qualify for BOI registration where it undertakes a project not reserved for Philippine nationals or exports at least 70 percent of total production. This is an overview, not approval of a particular project. The enterprise still needs to satisfy the applicable registration criteria and any industry rules.
The government approved the 2026 Strategic Investment Priority Plan through Memorandum Order No. 47. The SIPP identifies priority areas for investment incentives. Investors should map their specific products, services, location, and project scope to the current plan and its implementing guidelines, then confirm whether the proposed activity is eligible through the relevant investment promotion agency.
Sequence the incorporation and incentive review
Before registering an entity, decide who will own it, where revenue will arise, whether output is for the Philippine market or export, and what licenses the activity requires. These facts can affect the corporate structure and the BOI analysis. An incentive assumption made after contracts and capital commitments are final may be difficult to correct.
BOI registration, when available, carries continuing conditions and reporting obligations. Founders should model both the benefit and the compliance cost.
