Foreign Incorporators in the Philippines: Passport Numbers, TINs and Identity Records
A foreign founder can often begin planning a Philippine corporation before obtaining a Philippine Tax Identification Number (TIN), but the identity details in the filing must still be accurate. Problems usually arise when a passport, incorporation document and later tax or bank record use different names or numbers. Those discrepancies can slow the next stage of registration.
Check the SEC’s filing instructions
The Securities and Exchange Commission’s primary registration guidance says foreign investors may indicate a passport number in lieu of a TIN for corporation or partnership registration. This is a registration accommodation, not a blanket exemption from later tax identification requirements. The applicable electronic filing route and current form should be checked before submission.
Use the name as it appears on the valid passport, including the order of family and given names. If the investor has used another name in earlier Philippine records, prepare a documented explanation. Confirm nationality, residence address, date of birth and contact details across the proposed articles, shareholder information and authorization documents.
Plan the next registrations
After incorporation, the company normally has separate BIR, local permit and banking steps. A foreign director, officer or shareholder may need a TIN for a later transaction or report even if a passport number was accepted in the initial SEC application. The BIR NewBizReg portal explains the business registration channel and documentary preparation; the correct procedure depends on the entity and transaction.
Where documents are signed abroad, check whether apostille or consular authentication is required for that document and issuing jurisdiction. Avoid sending an old copy merely because it was accepted for another filing. Foreign ownership limits and sector licensing must also be reviewed before the ownership percentages are finalized.
