Opening a Second Philippine Office: When BIR Branch Registration Is Required
A corporation may begin with one registered office and later open a sales location, clinic, showroom, or other operating site. A second address is not automatically just a mailing address. The Bureau of Internal Revenue describes a branch as a separate or distinct establishment where sales transactions are conducted independently from the head office, and it provides a registration process for branches.
Determine the site’s real function
Before signing a lease or printing invoices, management should identify what the second location will actually do. Will staff conclude sales, receive payments, issue invoices, store inventory, or only perform administrative work? The answer affects whether it should be registered as a branch or treated under another BIR classification. The corporation’s SEC and local-government records should also be checked for consistency.
The BIR’s Citizen’s Charter says a regular taxpayer generally registers a fixed branch with the revenue district office having jurisdiction over the branch location. It identifies separate treatment for a branch without a fixed location and for large taxpayers. BIR Form 1903 includes a branch-office designation.
Coordinate registration and operations
The BIR’s NewBizReg portal lists branch registration as a supported business-registration route. The company should confirm the latest documentary checklist, tax types, invoicing setup, and recordkeeping requirements with the relevant RDO before opening. Multiple sites can also trigger local permits or sector-specific approvals beyond the BIR process.
Our business registration team can help review the proposed site and coordinate filings. Contact BizzureVisa with the head-office registration, proposed branch address, and planned activities. This is general information; classification depends on the facts and current agency instructions.
